Anti-Bribery and Corruption We are dedicated to ethical, fair, and vigorous competition. We sell Samson products and services based on their merit, superior quality, functionality, and competitive pricing. We make independent pricing and marketing decisions and will not improperly cooperate or coordinate our activities with our competitors. We will not offer or solicit improper payments or gratuities in connection with the purchase of goods or services for Samson or the sales of its products or services, nor will we engage or assist in unlawful boycotts of customers.Sustainability in manufacturing involves adopting processes that minimize environmental impact, reduce waste generation and energy consumption, and optimize the use of resources. We strive to take a comprehensive approach that considers the entire product life cycle, from raw material extraction to manufacturing, distribution, and end- CORPORATE SOCIAL RESPONSIBILITY POLICY CONFLICTS OF INTEREST We must avoid any relationship or activity impairing our ability to make objective and fair decisions when performing our jobs. At times, we may be faced with situations where the business actions we take on behalf of Samson may conflict with our personal interests. Employees must never use Samson property or information for personal gain. Employees with a conflict-of-interest question should seek advice from management. Before engaging in any activity, transaction, or relationship that might give rise to a conflict of interest, employees must seek review from their managers or the HR department. TRANSPARENCY We ensure that all disclosures in financial reports and public documents are complete, fair, accurate, timely, and understandable. This obligation applies to all employees, including all financial executives, with any responsibility for preparing such reports, including drafting, reviewing, and signing or certifying the information contained therein. No business goal is ever an excuse for misrepresenting facts or falsifying records. Employees should inform Senior Leadership and the HR department if they learn that information in any filing or public communication was untrue or misleading at the time it was made or if subsequent information would affect a similar future filing or public communication. ACCOUNTABILITY Each of us is responsible for knowing and adhering to the values and standards set forth in this policy and for raising questions if we are uncertain about company policy. If we are concerned whether the standards are being met or are aware of violations of the Code, we must contact the HR department. Emphasize the company’s commitment to ethical business practices, such as honesty, transparency, and respect for human rights. At Samson, everyone should feel comfortable speaking their mind, particularly regarding ethics concerns. Managers are responsible for creating an open and supportive environment where employees feel comfortable raising such questions. We all benefit when employees exercise their power to prevent mistakes or wrongdoing by asking the right questions at the right times. Samson will investigate all reported instances of questionable or unethical behavior. In every instance of improper conduct, the company will take appropriate action. We will not tolerate retaliation against employees who raise genuine ethical concerns in good faith. CONFIDENTIALITY Integral to Samson’s business success is our protection of confidential company information and nonpublic information entrusted to us by employees, customers, and other business partners. Confidential and proprietary information includes pricing and financial data, customer names/ addresses, or nonpublic information about other companies, including current or potential suppliers and vendors. We will not disclose confidential and nonpublic information without a valid business purpose and proper authorization. of-life disposal. At a minimum, we expect our suppliers to have policies and procedures addressing the following areas. LABOR Suppliers shall adhere to the key principles the International Labour Organization (ILO) considers fundamental principles and rights at work. ETHICS Suppliers shall uphold the highest ethical standards to meet social responsibilities and achieve success in the marketplace. HEALTH & SAFETY Suppliers shall minimize the incidence of work-related injury and illness to help achieve a safe and healthy work environment, enhancing the quality of products and services, consistency of production, worker retention, and morale. ENVIRONMENTAL Suppliers shall identify and minimize its adverse effects on the community, environment, and natural resources within their manufacturing operations while safeguarding the health and safety of the public. They shall adhere to sound environmental stewardship practices and work to continuously reduce their environmental footprint. • FREELY CHOSEN EMPLOYMENT Suppliers shall not use forced, bonded (including debt bondage), indentured labor, involuntary prison labor, exploitative prison labor, slavery, or trafficking of persons. All work will be voluntary, and workers should be free to leave work or terminate employment upon reasonable notice. • CHILD LABOR Suppliers shall not use child labor in any stage of manufacturing or otherwise. “Child” means any person under the age of 15, or under the age for completing compulsory education, or under the minimum age for employment in the country, whichever is greatest. • BUSINESS INTEGRITY Suppliers shall maintain the highest standards of integrity in all customer interactions. Suppliers shall have a zero-tolerance policy that prohibits all forms of bribery, corruption, extortion, and embezzlement. Bribes or other means of obtaining undue or improper advantage are not to be promised, offered, authorized, given, or accepted. • WORKING CONDITIONS Working conditions must meet, at a minimum, standards set by local law. Workers must not face any undue health or safety risks from working or living conditions. • NON-DISCRIMINATION Supplier shall be committed to a workforce free of harassment and unlawful discrimination. • DISCLOSURE OF INFORMATION All business dealings should be transparently performed and accurately reflected on Suppliers’ business books and records. Information regarding labor, health and safety, environmental practices, business activities, structure, financial situation, and performance is to be disclosed in accordance with applicable regulations and prevailing industry practices.
